1. Introduction

These Terms & Conditions (“Terms”) govern your use of the services provided by VirgoX Marketing under the Tri-Fold Trailblazer Programme. This includes the implementation of automated appointment systems (Unbound Alchemist), database reactivation (Connect Pilot), and paid advertising campaigns (Leadflow Catalyst).

2. Acceptance of Terms

By accessing our services, you agree to these Terms. If you do not agree with any part of these Terms, please do not use our services.

3. Definitions

• Unbound Alchemist: The automation component of our service, including the implementation of an AI Chatbot and appointment system on your website.

• Connect Pilot: Designed to reactivate and re-engage past customers through personalized emails, upselling, cross-selling, and loyalty programs.

• Leadflow Catalyst: Management of Facebook and Google ad campaigns to drive lead generation and appointment setting.

• Qualified Meetings: Booked appointments scheduled on your Google Calendar that result from our lead generation efforts, not finalized sales or buyers.

• ROI: Return on Investment, specifically a minimum of three times (x3) the amount spent on advertising.

4. Service Overview

• Services Provided: We offer a comprehensive 3-part service program known as the Tri-Fold Trailblazer Programme:
• Unbound Alchemist: Implementation of automated appointment systems.
• Connect Pilot: Includes the reactivation of past customers through personalized email campaigns.
• Leadflow Catalyst: Management of Facebook and Google ad campaigns.

• Payment Terms: The service fee is $3,000 retainer, and $150-$300/appointment for a 3-month initial contract (Upfront retainer for the entire 3-month period) for the total appointments at the end of each month. No monthly fees included.

• Tools Used: We utilize Systeme.io, Zapier, and other tools as necessary for service delivery.

5. Timeline

• Initial Setup: After successful contract signing and receipt of the first installment, we will implement the automated appointment systems (Unbound Alchemist) within 7 days.

• Database Reactivation: Run for 3 months, with initial reactivation and engagement campaign (Connect Pilot) launched within 7 days of contract signing.

• Ad Campaign Execution: The Facebook and Google ad campaigns (Leadflow Catalyst) will start immediately after the automation setup.

6. User Responsibilities

• Accurate Information: You are responsible for providing accurate and timely information necessary for service delivery.

• Security: You must ensure the security of any credentials shared with us, such as website admin logins, which are requested through encrypted channels.

• Final Deal Closure: Meetings we bring from Facebook paid ads are qualified inquiries set on your Google Calendar after nurturing and follow-ups. The final responsibility for converting these leads into actual buyers and fulfilling services rests with you, not us.

• Website Access: You must provide access to the website backend for the implementation of the "Unbound Alchemist" System and other automation systems.

7. Payment Terms

• Due Payment: The service retainer of $3.000 is due at the start of the initial agreement for 3 months. For each appointment set on the calendar through the ad campaign, charges $150-$300/appointment at the end of each month.

• Processing Fees: Additional fees may apply based on the payment method and will be reflected in the final invoice.

• Refund Policy: Refunds are provided based on our service guarantees. If we do not meet the guaranteed results, refunds are calculated as follows:
• Appointment Guarantee: If we deliver fewer than the guaranteed 10 qualified meetings in the first month, a refund equivalent to the proportion of the shortfall will be issued. For example, if we deliver only 8 meetings, a refund of 20% of the total monthly service fee will be given.
• ROI Guarantee: If your revenue generated through our services does not reach at least three times (x3) your average ad spend over the 3-month contract, a refund of the shortfall amount for that specific month will be issued. For example, if the ROI is x2.8, a refund of 20% of the monthly service fee will be issued.

8. Service Delivery

• Timeline: Services are delivered according to the timeline specified above.

• Revisions: Up to 5 revisions are offered for the automation systems (Unbound Alchemist). For other services, unlimited requests for modifications and changes are accepted.

• Data Handling: All client and customer data is used solely for service delivery and is permanently deleted upon completion.

9. Campaign Management

• Paid Advertising: We design, execute, and optimize Facebook and Google ad campaigns (Leadflow Catalyst). This includes demographic targeting, ad creative development, and performance monitoring. We handle all aspects of the ad campaign to ensure maximum effectiveness.

• Email Campaigns: Our email campaigns focus on engaging and reactivating past clients through segmented emails, review solicitation, and personalized content, which includes upselling and cross-selling opportunities.

10. Post-Deployment Support

• Support Duration: We provide 90 days of comprehensive support, including support for the automation system, managing and renewing ad campaigns, and adding new customers to the database reactivation campaign. The maximum number of entries for database reactivation is 2000, with updates available on a weekly basis.

11. Maintenance & Support

• Support Response: Maintenance and support requests will be addressed within 72 hours.

• Client Access: Clients have full access to the database reactivation campaign account to manage customer information directly.

12. Intellectual Property

All intellectual property related to the services provided remains with VirgoX Marketing unless otherwise agreed upon in writing. Clients receive full rights to use the delivered materials for their intended purpose.

13. Limitation of Liability

VirgoX Marketing is not liable for any indirect, incidental, or consequential damages. Our total liability is limited to the amount paid for the services.

14. Termination

• By Client: You may terminate the contract within 24 hours of payment by written notice. After this period, cancellations are not accepted.

• By VirgoX Marketing: We reserve the right to terminate the contract if the client fails to provide necessary information or violates these Terms.

15. Dispute Resolution

Any disputes arising from these Terms will be resolved through mediation or arbitration before any legal action is taken. If unresolved, disputes will be governed by the laws of Sri Lanka.

16. Governing Law

These Terms are governed by the laws of Sri Lanka, and any disputes will be settled in its courts.

17. Confidentiality and Non-Disclosure

All information shared between VirgoX Marketing and the client is confidential and will not be disclosed to third parties, except as required by law.

18. Amendments

We may amend these Terms at any time. Changes will be communicated through our website or by email. The updated Terms will be effective immediately upon posting unless otherwise specified.

19. Entire Agreement

This agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter herein.

20. Feedback and Complaints

Clients may provide feedback or file complaints within 14 business days of service delivery. All feedback and complaints will be addressed within 7 business days.

21. Client Acknowledgement

By signing this agreement, the client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
